Public Offer Agreement
This Public Offer (hereinafter the “Offer” or “Agreement”) governs the relationship between Natalia Alexandrovna Trubacheva (Tax ID: 701719187976) (hereinafter the “Provider”) and the customer (hereinafter the “Customer”).
This document is a public offer in accordance with Clause 2 of Article 437 of the Civil Code of the Russian Federation.
By accepting this Offer, the Customer enters into a legally binding agreement with the Provider under the terms set out below.
1. General Provisions1.1. The Provider undertakes, in consideration for payment, to grant the Customer access to neural network guides (“Guides”) for a period of six calendar months from the date access is provided (hereinafter the “Services”) under a simple non-exclusive license. The start and end dates of sales are published on the Website.
1.2. Full and unconditional acceptance of this Offer is achieved when the Customer pays the full or advance payment for the selected Guide in accordance with Section 3 of this Agreement.
1.3. The Agreement between the Provider and the Customer comes into force from the moment the Customer accepts the Offer as described in Clause 1.2.
1.4. By accepting the Offer, the Customer confirms that they have fully read and agreed to the terms of this Agreement, including the access conditions, and have obtained all necessary information related to the fulfillment of the Agreement posted on the Website.
1.5. By accepting the Offer, the Customer confirms that they are of legal age and fully competent to enter into this Agreement.
1.6. By accepting this Offer, the Customer consents to the processing of their personal data in order to carry out the terms of the Agreement. Personal data is processed in accordance with the Privacy Policy available at: https://neuro-guides.com/politics
1.7. The current version of the Offer is published at https://neuro-guides.com/oferta.
2. Definitions and Purchase Procedure2.1. The price of each Guide (consideration) is listed on the Website and depends on the selected product.
2.2. To obtain access, the Customer must:
• enter their name, phone number, and email address on the Website;
• click the “Pay” button and complete payment for the chosen Guide.
2.3. The Provider may unilaterally change the price. The new prices and payment conditions take effect from the date of publication on the Website. Prices already paid will not be changed.
2.4. If the price changes between order placement and payment, the Customer must pay the updated price.
2.5. The Customer may transfer the obligation to pay to a third party; the payment must include the Customer’s full name.
2.6. The Provider may set additional discounts. Customers not meeting the conditions for a discount may not use it.
2.7. Payments are processed using the payment system’s functionality; the Provider does not process or store payment card details.
2.8. The Customer may pay in full or via installment/credit from a partner bank. The Provider is not responsible for credit terms or credit approval decisions.
2.9. The Provider may engage banks or credit organizations as partners.
2.10. The fee is considered paid when the funds are received in the Provider’s account.
3. Access Provision Procedure3.1. If the Customer has questions about execution of obligations, they must email aiguides@yandex.com
3.2. The Customer must check the registered email daily, including spam, for messages from the Provider.
3.3. On the day of payment, the Provider grants access via a link sent to the Customer’s email through Yandex Disk cloud storage.
3.4. Access is provided “as is”; the Customer may not demand additional revisions.
3.5. Guides are provided under a simple (non-exclusive) license.
3.6. The access period is six calendar months and cannot be paused or extended unless agreed by the Parties.
3.7. The Provider grants the Customer the right to:
• view the Guides;
• save them to the Customer’s device.
3.8. Bonus materials, if any, are provided free of charge.
3.9. The Provider’s obligations are fulfilled once access is granted, regardless of the amount viewed.
3.10. If the Customer provides false personal data or fails to read notifications, the Provider is not responsible for missed access. No refunds will be given.
3.11. Guide content is as described on the Website.
3.12. The Provider may conclude similar access agreements with third parties.
3.13. The Customer may not provide access to Guides to third parties.
4. Delivery and Acceptance Procedure4.1. After 1 day from access, the Provider only accepts complaints regarding technical issues or inaccessible materials within the access period granted.
4.2. The Agreement’s obligations are considered satisfactorily fulfilled when the terms in Section
5.1 are met in absence of written complaints.
5. Intellectual Property
5.1. Guide content is the Provider’s intellectual property.
5.2. The Customer may not:
• copy or reuse elements of the Provider’s intellectual property;
• sell, distribute, sublicence, or assign the Provider’s intellectual property;
• provide access to third parties;
• use materials in unlawful activities;
• reverse-engineer or reconstruct content.
5.3. If the Customer breaches these terms, the Provider may block access without refund.
6. Website Usage Rules
The Customer must not:
• use automated tools to access or copy cloud storage;
• disrupt cloud storage or security;
• attempt unauthorized access;
• use content unlawfully.
7. Customer Guarantees
The Customer guarantees that:
• they are of legal age;
• provided accurate personal data;
• payment information belongs to them;
• they will not grant third-party access to Guides.
8. Liability
The Provider is not liable for:
• cloud storage issues beyond their control;
• results not achieved by the Customer;
• email delivery failures;
• inability to execute content application.
If the Customer violates key terms (e.g., redistribution), the Provider may demand a penalty.
The Customer must pay penalties within 10 days, or the Provider may pursue court action.
9. Term and Termination
9.1. The Agreement enters into force upon acceptance and remains in effect until full performance by both Parties.
9.2. The Provider may terminate the Agreement if the Customer fails to meet obligations. They will notify via email.
9.3. Upon termination, access to Guides ends immediately.
9.5. Refunds before access are fully refundable; after access is provided, no refunds are issued.
10. Other Conditions
10.1. Personal data is processed according to the Privacy Policy.
10.2. If any clause is invalid, all other clauses remain in force.
